Business Exit
Exiting a Business Is Not an Event. It Is a Process.
Most exits fail, underperform, or leave money on the table for one simple reason.
They start too late.
By the time an owner speaks to a broker, the structure is already wrong, the numbers are messy, the tax position is exposed, and the options are limited. At that point, you are reacting instead of controlling the outcome.
At Infinitus Consulting, we work with business owners well before they go to market. Sometimes years before. Not because we want to slow things down, but because the best exits are engineered, not rushed.
Our role is to help you understand your real options, clean up what needs fixing, and position the business so you can exit on your terms.
Reduce Tax
- Reduce Inheritance Tax – Protect your family for future generations.
- Business Exit – Mitigiate unnecessary taxation on the sale of business assets or shares.
- Reduce your exposure to personal and corporation taxation without having to leave the UK (unless you want to).
Protect:
- Safeguard your wealth from bloodline loss (protect your estate from being lost to a child’s future ex-spouse after divorce).
- Include the next generation in your plans now, well beyond simple Wills and Trusts.
If you’re a High Net Worth Individual and haven’t had your financial structure optimised to reduce taxes and protect your wealth, now is the time to act.
Why Early Planning Changes Everything
An exit planned early gives you leverage.
An exit planned late gives you compromises.
When we work with clients early enough, we can:
- Improve headline valuation, not just profit on paper
- Reduce dependency on the owner
- Structure income and capital correctly
- Protect proceeds from unnecessary tax
- Keep options open rather than being forced into one route
Many owners come to us thinking they want to sell. What they actually want is freedom, certainty, or time. The exit route should follow that, not dictate it.

Understanding Your Exit Options
There is no single “right” way to exit a business. There is only what fits your goals, your appetite for risk, and your timeline.
Here are the most common routes, explained simply.
Management Buyout (MBO)
This is where the existing management team buys the business.
Often funded through a mix of bank lending, deferred payments, and sometimes seller support. It works well when you trust the team and want continuity. It can also be slower and more structured than a trade sale.
Good option if legacy matters and you want a clean transition.
Leveraged Buyout (LBO)
A buyer acquires the business using a significant amount of debt secured against the company.
This is more common with private equity backed deals. Valuations can be strong, but the process is more intense and heavily numbers driven. Due diligence will be forensic.
Best suited to scalable businesses with predictable cash flow.
Trade Sale
Selling to another company in the same or adjacent market.
This can deliver strong valuations where there are synergies, but control is largely lost once heads of terms are signed. Buyers will focus hard on risks, dependencies, and integration.
Often attractive, but not always the most flexible.
Vendor Financing
You fund part of the purchase price yourself, usually through deferred consideration or loan notes.
This can help bridge valuation gaps and get deals done that otherwise would not complete. The trade off is ongoing exposure to the buyer’s performance.
Useful, but needs to be structured carefully.
Partial Exit or De Risking
Selling a minority stake or taking capital off the table while staying involved.
This is increasingly popular with owners who want liquidity without walking away. It can also be a stepping stone to a full exit later.
Good for those who still enjoy the business but want optionality.
Orderly Wind Down or Internal Succession
Not every exit involves a sale.
In some cases, the best outcome is a structured wind down, family succession, or employee ownership route. These are often overlooked because they are less headline grabbing, but for the right owner they can be the cleanest solution.
Where Infinitus Consulting Fits In
We are not brokers. We are not here to list your business and hope for the best.
We sit upstream of the exit.
Our work typically includes:
- Clarifying what you actually want from an exit
- Stress testing different exit routes early
- Fixing structure, tax exposure, and ownership issues
- Reducing owner reliance and key person risk
- Making the business easier to buy and easier to value
- Coordinating with lawyers, accountants, and corporate finance when the timing is right
In short, we help you get the business exit ready long before anyone is invited to the table.
A Final Thought
The biggest regret we hear from exited business owners is not selling too early.
It is selling without proper preparation.
If you are even thinking about an exit in the next one, three, or five years, that is the right time to start the conversation. Not when the phone rings with an unsolicited offer.
Plan early. Keep control. Exit properly.
